Terms of service
These terms are an agreement between you and Kiwi AI Labs Inc. (“Kiwi”, “we”) for using withkiwi.ai and the Kiwi product. We’ve kept them as plain as we can. If you accept them for a company, you confirm you’re allowed to, and “you” means that company. If your company has signed an order form with us, the order form wins wherever the two disagree.
The service
Kiwi lets GTM teams build agents, run them against real work, and check that work at checkpoints before anything leaves the building. Kiwi is in early access. Features will change, and we may add, change, or remove parts of the service as we build it. When a change takes away something you rely on, we’ll tell you ahead of time.
Your account
Access is by invitation. Keep your sign-in secure and tell us right away at hello@withkiwi.ai if you think someone else has used it. You’re responsible for what happens under your account, and for the people you invite to your team. You must be at least 18 to use Kiwi.
Your data
What you bring to Kiwi stays yours: the agents you build, the runs they produce, and the records, emails, meeting notes, and other data that reach Kiwi from the tools you connect. You give us permission to store, process, and move that data only as needed to run Kiwi for you, keep it secure, support you, and improve the service.
We don’t sell your data, and we don’t use your runs, notes, or connected data to train AI models. Our privacy policy explains what we collect and how long we keep it.
Tools you connect
Kiwi works by connecting to tools you already use, like HubSpot, Salesforce, Gmail, Google Calendar, and Granola. When you connect one, you authorize Kiwi to read from it, and to write to it where you allow, on your behalf. You confirm you have the right to give us that access. Those tools are run by other companies under their own terms, and we aren’t responsible for their availability or for changes they make. You can disconnect any of them at any time, which stops data moving between it and Kiwi.
Agents, checkpoints, and AI output
Agents use AI models, and AI output can be wrong, incomplete, or out of date. Checkpoints exist so a person checks the work before the next step acts on it. You decide where checkpoints go and what gets approved, and you’re responsible for what your agents send or change once you, or someone on your team, approves it or sets an agent to act without stopping. Review output before you rely on it.
Acceptable use
Don’t use Kiwi to:
- break the law or anyone else’s rights
- send spam, or messages that break email or privacy laws such as CAN-SPAM or GDPR
- break another service’s terms, including by scraping or automating a site that prohibits it
- store payment card numbers, health records, or government ID numbers, unless we’ve agreed to it in writing
- probe, overload, or get around the security of Kiwi or anything connected to it
- copy, reverse engineer, or resell Kiwi, or use it to build a competing product
Fees
Paid use, including pilots, is priced in an order form. Fees are due as the order form says, don’t include taxes, and aren’t refundable unless the order form says otherwise. If an invoice goes unpaid more than 30 days after it’s due, we may suspend paid features after telling you.
Confidentiality
Each of us will keep the other’s non-public information confidential and use it only for this agreement. That doesn’t cover information that’s already public, that the other side already had, or that the law requires sharing.
What we own
Kiwi, its software, and its design belong to us. While you use Kiwi under these terms, you have a limited, non-transferable right to use it for your business. If you send us feedback or ideas, we may use them without owing you anything.
Ending things
You can stop using Kiwi at any time. We may suspend or close an account that breaks these terms, puts Kiwi or other customers at risk, or goes unpaid; we’ll give notice first when we reasonably can. When an account closes, we’ll help you export your data on request and delete it within 30 days. Sections that by their nature should outlast the agreement, like confidentiality, ownership, and limits on liability, do.
Disclaimers
Kiwi is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t promise Kiwi will be uninterrupted or error-free, or that AI output will be accurate.
Limits on liability
To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Each side’s total liability under these terms is limited to the greater of the fees you paid Kiwi in the 12 months before the claim, or $100. These limits don’t apply to your payment obligations, to breaches of acceptable use, or to amounts owed under the next section.
Claims from others
You’ll defend Kiwi against claims by others that arise from your data or from your breaking these terms, and cover the resulting costs. We’ll defend you against claims that Kiwi itself infringes someone’s intellectual property, and cover the resulting costs. Whoever is defending gets prompt notice of the claim and control of its defense.
Changes
If these terms change in a way that matters, we’ll email you at least 30 days before the change takes effect and note the new date above. No silent edits. Using Kiwi after a change takes effect means you accept it.
The fine print
Delaware law governs these terms, and the state and federal courts in Delaware will hear any dispute. These terms, any order form, and the privacy policy are the whole agreement between us. Neither of us may transfer it without the other’s consent, except as part of a merger or sale of the business. If a part of these terms can’t be enforced, the rest still applies, and not enforcing a part right away doesn’t waive it.
